This User Agreement supplements our Terms & Conditions and Privacy Policy and sets out the day-to-day rules for everyone using the Keepface marketplace ("the Service"). By creating an account, accessing a Workspace, or accepting an invitation to join one, you accept this User Agreement.
1. Scope
This User Agreement applies to every individual who creates an account on the Keepface marketplace, whether as an Influencer, Brand, agency, or platform staff. It supplements — and must be read together with — our Terms & Conditions and Privacy Policy. Capitalised terms not defined here have the meaning given to them in our Terms & Conditions.
2. One Account, Many Workspaces
Each Keepface user account is personal to one human. From a single account you may operate one or more Workspaces — typically an Influencer profile, a Company workspace, or both. Each Workspace has its own roster of members, settings, billing, and permissions. Switching between Workspaces does not create a new account.
3. Workspace Roles
Within each Workspace, four roles control what a user can do:
- Owner — full control, billing, member management, and the ability to delete the Workspace. There is exactly one Owner per Workspace at any time; ownership can be transferred from inside settings.
- Admin — every Owner permission except billing changes and deletion of the Workspace.
- Member — day-to-day operations: launching Campaigns, replying to Influencers, approving deliverables, drafting content. Cannot invite or remove other users.
- Viewer — read-only access; useful for stakeholders, accountants, or auditors who need visibility without edit rights.
Owners and Admins are responsible for the accuracy and conduct of every user they invite, including ensuring members understand and follow this Agreement.
4. Account Use and Security
Each account is personal. Sharing credentials with another person, automating actions in violation of platform rules, or representing yourself as someone else is prohibited. Workspaces are designed precisely so that an organisation can give multiple humans their own login — use them. We may suspend or terminate any account used to evade these rules.
You must keep your contact email accurate so we can reach you about security alerts, payout confirmations, and material changes to the Service.
5. Influencer Obligations
Influencers using the Service agree to:
- provide accurate, up-to-date profile information (name, country, content category, languages, social handles);
- connect only social accounts they personally own or are formally authorised to manage;
- not artificially inflate followers, engagement, or audience demographics, and not buy or trade engagement;
- respond to Brand outreach via the Service, not via off-platform channels offered for the purpose of avoiding Service fees;
- deliver content in line with the Campaign brief, on time, and respect the agreed usage scope;
- comply with applicable advertising rules, including disclosure of sponsored content (#ad, "Paid partnership", etc.) where required.
6. Brand Obligations
Brands using the Service agree to:
- provide complete, lawful, and non-misleading Campaign briefs;
- review and approve Influencer deliverables within the SLA shown in the Service (default seven (7) days unless extended);
- fund Escrow before launching a Campaign that requires Influencer payment;
- not contact, recruit, or pay an Influencer outside the Service for the period set out in the Terms & Conditions, Section 9;
- not scrape, copy, or redistribute the marketplace catalogue, Lists, or Intelligence Profiles.
7. Payments and Payouts
Funds collected from Brands for outreach, Intelligence Profile unlocks, or Campaign deliverables are held by Keepface as the platform of record. Influencer payouts are released through approved payment channels (Wise Business and similar regulated providers) only after the corresponding milestone — outreach delivery, content approval, or campaign completion — is confirmed inside the Service.
Influencers are responsible for the accuracy of their payout details and for any local tax obligations on funds received. Where local law requires us to withhold tax or report payout amounts, we will do so.
8. Content and Intellectual Property
Influencers retain ownership of the content they create through Campaigns on the platform. By publishing content for an active Campaign, the Influencer grants the Brand a non-exclusive, royalty-free licence to use that content within the channels, formats, and duration agreed in the Campaign brief. Use beyond that scope (paid amplification, billboards, use after expiry) requires separate written consent.
9. Conduct
Misleading audience metrics, purchased followers or engagement, hate speech, illegal activity, fraud, harassment, sexually explicit content involving minors, or any breach of platform rules are grounds for immediate termination. Brands engaging in such behaviour are equally subject to removal and refund denial. Where conduct also breaches a Brand or Influencer's local law, we may report it to the relevant authorities.
10. Disputes
If a dispute arises between an Influencer and a Brand, both parties are expected to attempt good-faith resolution through the Service's support channels first. Keepface may, at its discretion and based on documented evidence supplied by both sides, mediate, refund the Brand from Escrow, release Escrow to the Influencer, or split the Escrow.
11. Termination
You may close any Workspace from your account settings at any time. Active Campaigns must be completed, refunded, or formally cancelled before a Workspace can be deleted. We may suspend a Workspace immediately if we reasonably believe it has been used to breach this Agreement or has caused or threatens to cause harm to other users.
12. Updates and Re-Acceptance
This User Agreement may be revised when our marketplace functionality changes. When a material update occurs we will notify users by email and require re-acceptance the next time you sign in. Continuing to use the Service after the effective date of an updated version constitutes acceptance.
